Assignee

A party that takes ownership of a contract or receivable from the original counterparty. In the Ontario HVAC context, the finance company that buys the contract from the original installer.

Most door-to-door HVAC agreements in Ontario are assigned within days or weeks of installation to a separate finance company — CHICC, SNAP, Crown Crest Capital, Financeit, Home Trust, and others. The finance company collects the monthly payments and may hold any registration on title.

Under Ontario law, an assignee's rights are no greater than the assignor's. If the underlying agreement was unenforceable when signed, that conclusion travels with the contract when it is assigned.
